Sponsor Agreement

This Sponsor Agreement ("Agreement") is entered into between Draft Slot LLC ("Platform") and the sponsor ("Sponsor") identified in the electronic signature below.

RECITALS: Sponsor wishes to create a sponsored group on the Platform with prizes. Platform provides a venue for fantasy sports draft competitions.

1. Sponsor Responsibilities

1.1 Sole Responsibility for Prizes

Sponsor is solely responsible for the procurement, delivery, and fulfillment of all prizes offered in connection with any sponsored group created by Sponsor on the Platform.

1.2 Accurate Descriptions

Sponsor warrants that all prize descriptions provided are accurate and not misleading.

1.3 Prize Fulfillment

Sponsor agrees to fulfill all prizes to eligible winners within a reasonable time after the conclusion of the draft competition.

1.4 Contact Information

Sponsor shall provide valid contact information (email and phone) that will be displayed publicly to group participants for prize-related inquiries.

1.5 Prize Fulfillment Instructions

Sponsor shall provide clear instructions on how winners will receive their prizes (e.g., payment method, shipping, pickup).

3. Platform Role

3.1 Limited Role

Platform's role is limited to:

• Displaying Sponsor's group information and prize descriptions
• Calculating competition rankings based on draft results
• Providing Sponsor's contact information to winners
• Facilitating group membership and entry submission

3.2 No Guarantees

Platform does NOT:

• Guarantee any prizes will be delivered
• Verify prize availability or Sponsor's ability to fulfill prizes
• Facilitate or process prize delivery
• Mediate disputes between Sponsor and prize recipients
• Endorse or vouch for any prizes offered

3.3 Disclaimer Display

Platform will display disclaimers on all sponsored group pages indicating that prizes are provided by Sponsor and that Platform bears no responsibility for prize fulfillment.

4. Representations and Warranties

4.1 Authority

Sponsor represents and warrants that they have full authority to enter into this Agreement and to make the commitments contained herein.

4.2 Legal Compliance

Sponsor represents that all prizes offered are legal and can be lawfully awarded in all jurisdictions where group participants may reside.

4.3 Contact Information

Sponsor represents that the contact information provided is accurate and that Sponsor will respond to prize-related inquiries in a timely manner.

4.4 Financial Ability

Sponsor represents that they have the financial ability and resources to fulfill all prizes as described.

5. Approval and Moderation

5.1 Admin Review

Platform reserves the right to review and approve or reject any sponsored group application at its sole discretion.

5.2 Removal

Platform may remove or suspend any sponsored group that violates this Agreement, Platform's Terms of Service, or applicable law.

5.3 No Liability

Platform shall have no liability for approval, rejection, or removal of any sponsored group.

6. Term and Termination

6.1 Term

This Agreement is effective upon electronic signature and continues until the sponsored group is completed or terminated.

6.2 Cancellation

Either party may cancel a sponsored group before the draft begins, subject to notification of registered participants.

6.3 Survival

Sections 2 (Indemnification), 3 (Platform Role), and 7 (Governing Law) shall survive termination of this Agreement.

7. Governing Law and Dispute Resolution

7.1 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Maryland, without regard to its conflict of laws principles.

7.2 Venue

Any legal action or proceeding arising out of or relating to this Agreement shall be brought exclusively in the state or federal courts located in Maryland.

7.3 Dispute Resolution

Any disputes regarding prizes shall be resolved directly between Sponsor and prize recipients. Platform is not a party to any such disputes and shall have no obligation to participate in their resolution.

8. Miscellaneous

8.1 Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, representations, or agreements relating thereto.

8.2 Amendment

Platform may amend this Agreement from time to time. Continued use of sponsored group features after such amendment constitutes acceptance of the amended terms.

8.3 Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

8.4 Waiver

No waiver of any term or condition of this Agreement shall be deemed a further or continuing waiver of such term or condition or any other term or condition.
